These Terms of Service ("Terms") govern access to and use of the Dermvio platform (the "Service") operated by Dermvio LLC, a Colorado limited liability company ("Dermvio," "we," or "us"). Dermvio's registered office is located at [Business Address — Denver, Colorado, to be added]. By creating an account or otherwise using the Service, you agree to these Terms.

Dermvio is a technology platform that provides infrastructure to independent, licensed dermatologists. Dermvio does not practice medicine, does not provide medical advice, and does not employ the dermatologists who use the platform. Clinical care, diagnoses, prescriptions, and treatment plans are provided solely by independent dermatologists.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Each independent dermatologist or clinic on the platform provides its own HIPAA Notice of Privacy Practices ("NPP") describing how it uses and discloses protected health information; you will receive the relevant NPP from your selected dermatologist or clinic.

1. Eligibility

  • You must be at least 18 years old to create an account.
  • Dermatologists using the Service represent that they hold a valid, unrestricted license to practice medicine in each state where they accept patients via the Service, and that they maintain malpractice coverage that satisfies the requirements of their state and their employing clinic (where applicable).
  • Clinic administrators represent they are authorized to bind their clinic to these Terms.

2. Accounts and security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at security@dermvio.com if you suspect unauthorized access. Dermvio implements commercially reasonable administrative, technical, and physical safeguards as described on our Security page.

3. Clinical relationship; limits of async telehealth

Patients using the Service enter into a provider-patient relationship directly with the independent dermatologist they select — not with Dermvio. Dermvio does not provide medical advice, diagnoses, prescriptions, or treatment recommendations.

Asynchronous, photo-based dermatology consultations have clinical limitations. They are not appropriate for every condition. The treating dermatologist may, in their professional judgment, decline to render a diagnosis or treatment plan through the Service and instead direct the patient to seek in-person evaluation when:

  • Photos are insufficient for diagnosis (lighting, focus, angle, or coverage).
  • The condition requires physical examination, palpation, dermoscopy, biopsy, or imaging that cannot be performed remotely.
  • The condition is acute, evolving rapidly, or potentially serious (including, without limitation, suspected skin cancers, severe infection, or systemic involvement).
  • The patient's clinical context, medication history, or other factors make remote care inappropriate.

Where the treating dermatologist refers the patient for in-person care, the patient is responsible for arranging that care. See Section 4 for the applicable fee policy.

Emergencies. In an emergency, call 911 or your local emergency number; the Service is not designed for, and must not be used for, emergencies.

4. Payments and refunds

  • Consultation fees.Consultation fees are set by the dermatologist or clinic and are charged through Stripe at the time of submission. Dermvio retains a platform fee and any applicable application fee on each transaction; the remainder is paid to the dermatologist's or clinic's Stripe Connect account.
  • Platform subscription. Dermatologists and clinics pay a monthly platform subscription fee. Subscriptions auto-renew until canceled. Cancellation stops future renewals but does not refund the current period.
  • Clinical refunds. Refunds for clinical concerns are at the discretion of the treating provider or clinic.
  • In-person referral credit.If the treating dermatologist determines that the patient's condition requires in-person evaluation and accordingly does not render a diagnosis or treatment plan through the Service, the consultation fee will be credited toward a follow-up in-person visit with the same provider or clinic, where the provider or clinic offers in-person services. If the provider or clinic does not offer in-person services, the consultation fee will be refunded subject to the provider's or clinic's policies. The patient will be informed of the applicable credit or refund at the time of the referral.
  • Technical-failure refunds. Refunds for technical failures of the Service (e.g., the consultation could not be delivered due to a platform outage) may be handled by Dermvio at our discretion.

5. Use of the Service; prohibited conduct

You agree not to:

  • Use the Service in a manner that violates any law, regulation, or professional ethics rule.
  • Attempt to access information you are not authorized to access, including another provider's patients or another patient's records.
  • Reverse engineer, copy, or interfere with the operation of the Service.
  • Use the Service to provide care in a state where you are not licensed.
  • Use the Service to render care to patients located in a jurisdiction where doing so via asynchronous telehealth is not permitted.

6. Provider obligations

Dermatologists using the Service agree to maintain valid licensure, current malpractice coverage, and to provide care consistent with applicable standards of practice. Providers agree to direct patients to in-person evaluation when, in their professional judgment, async care is not appropriate (see Section 3). Dermvio may suspend or terminate access for providers who do not meet these requirements.

7. Privacy and HIPAA

Dermvio acts as a Business Associate to the dermatologists and clinics that use the Service. Dermvio's handling of protected health information is governed by the Business Associate Agreement ("BAA") between Dermvio and the applicable provider or clinic, by the Privacy Policy, and by applicable law, including HIPAA. Each independent provider or clinic remains the Covered Entity for its patients and is responsible for providing its own HIPAA Notice of Privacy Practices to those patients.

8. Intellectual property

Dermvio retains all rights, title, and interest in the Service, including its software, design, and trademarks. You may use the Service only as expressly permitted by these Terms. Content you upload (e.g., bio text, profile photos, clinic branding) remains yours; you grant Dermvio a license to host and display it as needed to operate the Service.

9. Termination

You may close your account at any time. Dermvio may suspend or terminate access for breach of these Terms, regulatory requirements, or risks to other users. Certain provisions survive termination, including those relating to intellectual property, disclaimers, indemnification, and limitation of liability.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. Dermvio does not warrant the medical or clinical outcomes of any consultation. Independent dermatologists are solely responsible for the clinical decisions they make, including any decision to refer a patient for in-person care.

11. Limitation of liability

To the maximum extent permitted by law, Dermvio's aggregate liability arising out of or relating to these Terms or the Service is limited to the greater of (a) the fees paid to Dermvio by the claimant during the twelve months preceding the claim and (b) one hundred U.S. dollars (US$100). Dermvio will not be liable for indirect, incidental, special, or consequential damages.

12. Indemnification

You agree to indemnify and hold Dermvio harmless against claims, liabilities, damages, and expenses arising from your use of the Service or violation of these Terms, including clinical claims arising from care you provide as a dermatologist.

13. Governing law; disputes

[Counsel review — Dermvio has not yet decided between court jurisdiction (as drafted) and binding arbitration with a class-action waiver. The latter materially affects class-action exposure and is a deliberate choice to be made before launch.]

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws principles. Disputes will be resolved exclusively in the state or federal courts located in Denver County, Colorado, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidentiality rights.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated via the Service or by email and become effective on the date stated in the updated Terms. Continued use of the Service after that date constitutes acceptance of the updated Terms.
